Constitution
1. Name
The Club shall be called Cults Community Education Centre Canoe Club. To be commonly known as Cults Canoe Club.
2. Objectives
The objectives of the Club shall be to enable people to enjoy the sports of kayaking and canoeing through the membership of the Club.
3. Membership
Membership shall run from 1st of April to 31st of March.
a) The membership shall consist of the following categories:
Individual
Family
Associate
b) Membership fees shall be agreed by each Annual General Meeting.
c) All members joining the Club shall be deemed to accept the terms of this Constitution and any mid term amendments agreed by the Committee.
d) A family membership shall be allocated one vote.
e) Associate membership shall carry no voting rights
4. Management
All committee members must be fully paid up members at time of election, any class of membership shall qualify.
The Officers of the Club who shall be honorary shall
consist of a :-
Chairperson
Vice-Chairperson
Treasurer
Secretary
Membership Secretary
Training officer
Store person
And up to 4 additional general members to cover the following areas.
News Letter Editor
Junior Represenative
Vice-Trianing Officer
General Members
All of these posts shall be elected annually at the Annual General Meeting.
If the post of any officer or other committee member should fall vacant after such an election for whatever reason, the Executive Committee shall have the power to fill the vacancy.
The affairs of the Club shall be conducted by a Committee which shall consist of the Officers of the Club.
The Executive Committee shall consist of the Officers of the Club and the Senior Community Education Worker of Cults Community Education Centre.
The term of office for a committee member shall be September 15th to Sepember 14th; a committee member can serve a maximum of two years consecutively in any committee post.
5. Annual General Meeting
The Club shall hold an Annual General Meeting in the month of April to:
a) Approve the minutes of the previous year’s AGM.
b) Receive reports from the Chairperson and Honorary Secretary.
c) Receive a report from the Honorary Treasurer and approve the Annual Accounts.
d) Elect the Executive Committee.
e) Consider changes to the Constitution.
f) Deal with any other relevant business.
6. Extraordinary General Meeting
An Extraordinary General Meeting shall be called by an application in writing to the Secretary supported by at least 3 members of the Club. The Executive Committee shall also have the power to call an Extraordinary General Meeting by a decision of a simple majority of its members.
7. Notices
At least 14 days notice shall be given to all voting members of any General Meeting.
8. Voting
Voting shall only be counted where a paid up member is present at time of vote, proxy voting shall be allowed but only when written evidence of authority is present.
a) With the exception of changes to the Constitution, simple majority at General Meetings shall resolve decisions put to a vote.
b) The Chairperson of the Club shall hold a deliberative as well as a casting vote.
9. Quorum
The quorum of the Committee Meetings shall be 4 members.
10. Changes to the Constitution
a) Any changes to the Constitution shall require a two-thirds majority of those present and eligible to vote at a General Meeting.
b) Notice shall be given to all voting members of any General Meeting as specified in 7. and then any proposal to change the Constitution shall be submitted in writing to the Secretary at least 14 days prior to the meeting.
c) All proposals for changes to the Constitution shall be signed by two members eligible to vote at a General Meeting.
11. Finance & Accounts
a) The Financial year shall run from 1st April to 31st March.
b) The Honorary Treasurer shall be responsible for the preparation of annual accounts of the club.
c) A statement of the Club’s accounts will be prepared by Cults Community Education Centre for the Annual General Meeting.
d) All Cheques drawn against Club’s funds shall be drawn through Cults Community Education Centre.
12. Health & Safety in Outdoor Activities
a) The Club shall operate in accordance with the current regulations pertaining to canoeing and kayaking as laid down by the Aberdeen City Council in its current safety document “Safety and Good Practice in Outdoor Education” and the current safety policies of the Scottish Canoe Association.
b) The Executive Committee has the final and authoritative decision on matters concerning Health and Safety within the Club.
13. Dissolution
In the event of the dissolution of the Club, any assets thereof shall not be distributed amongst the members of the Club in any way whatsoever but become the property of Cults Community Education Centre and used at the discretion of the Cults Community Education Centre Management Committee.
